Ally End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and LLC Mokavshire, a company registered in Tbilisi, Georgia ("Company", "Ally", "we", "our", or "us"), governing your use of the Ally mobile application, available on iOS and Android, and related services (collectively, the "Service").
By downloading, installing, accessing, or using the Ally application, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service.
By using the Service, you represent and warrant that:
•    you are 18 years of age or older
•    you have the legal capacity to enter into this Agreement
•    all information you provide is accurate and truthful
The Service is not intended for minors.
2. License to Use the App
Subject to this Agreement, LLC Mokavshire grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Ally application for personal, non-commercial purposes.
You may not:
•    copy, distribute, or modify the application
•    reverse engineer or attempt to extract source code
•    use the Service for illegal activities
•    access the Service through automated systems or scraping tools
All intellectual property rights in the application remain the property of LLC Mokavshire.
3. Account Registration
To use the Service, you must create an account.
Account creation requires:
•    a valid mobile phone number (mandatory)
•    email address (optional but recommended)
Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
You agree not to:
•    create accounts using false information
•    impersonate another person
•    use someone else's phone number without authorization
4. Contact Import and Third-Party Data
The Ally Service allows users to import contacts from their mobile device.
Imported contacts may include:
•    name
•    phone number
•    profile photo
•    tags
•    social links
•    other contact information stored on the device
Phone numbers of contacts are not publicly displayed within the application.
By importing contacts, you represent and warrant that:
•    you have the legal right to share such contact data
•    you comply with applicable data protection laws
•    you do not upload data obtained unlawfully
Users may delete imported contacts at any time.
The Company processes such information solely to provide the functionality of the Service.
5. User Content
Users may upload or provide content including:
•    photos
•    tags
•    contact information
•    social links
•    other related metadata
You retain ownership of the content you upload.
However, by uploading content you grant Ally a worldwide, non-exclusive license to:
•    store
•    process
•    display
•    analyze
such content solely for the purpose of providing and improving the Service.
You agree not to upload content that:
•    violates laws or regulations
•    infringes intellectual property rights
•    is defamatory, abusive, or harmful
•    violates privacy rights of others
6. Influence on Contact Information
While users cannot directly edit other users’ accounts, their interactions may influence how contacts and relationships are represented within the Service.
Users may request corrections or removal of inaccurate information through the available support channels.
7. Search and Connection Mapping
The Ally platform allows users to:
•    search for people
•    explore connection paths between individuals
•    identify potential connections within a network
Connection maps may include registered users and non-registered contacts that have been voluntarily uploaded by users.
Phone numbers remain hidden and protected.
8. Network Data Disclaimer
The Ally Service generates connection paths based on information voluntarily uploaded by users.
The Company does not guarantee the accuracy, completeness, or current validity of connection data, relationships, or network mappings displayed within the Service.
Users should independently verify any information obtained through the Service.
The Service is intended for networking and informational purposes only.
9. Premium Subscription
The Service offers optional premium subscription features.
Subscription pricing:
•    $1 USD per month globally
•    $1.99 USD per month in Argentina
Subscriptions:
•    renew automatically unless canceled
•    may be canceled through the app store or platform provider
•    provide access to additional functionality
Refunds, if applicable, are governed by the policies of the relevant app store.
10. Referral Program
The Service may offer referral-based features allowing users to invite others to join the platform.
The Company reserves the right to modify, suspend, or terminate referral programs at any time.
Referral rewards may be revoked if abuse, fraud, or manipulation of the system is detected.
11. Privacy
Your use of the Service is also governed by the Ally Privacy Policy, available within the application and at:
https://allyapp.one
The Privacy Policy explains how personal data is collected, processed, and stored.
12. Data Storage and Security
User data is stored on secure servers located in the European Union, including Germany and Lithuania.
The Company uses industry-standard security practices including:
•    encrypted communication (HTTPS/TLS)
•    restricted internal access
•    secure server infrastructure
However, no system can guarantee absolute security.
13. Acceptable Use
Users agree not to use the Service to:
•    harass, threaten, or harm other individuals
•    collect personal data of other users for unsolicited marketing
•    build external contact databases from platform data
•    conduct spam campaigns or phishing
•    upload malware or harmful code
•    manipulate the referral system
•    bypass platform restrictions
Any violation may result in account suspension or termination.
14. Anti-Scraping and Data Extraction
Users may not extract, compile, or build databases using information available through the Service.
This includes automated or manual collection of data for external use.
Any attempt to scrape, harvest, or export network data without authorization is strictly prohibited.
15. Account Suspension and Termination
The Company reserves the right to suspend or terminate user accounts that violate this Agreement.
Accounts may be suspended for:
•    abuse of the Service
•    suspicious or fraudulent activity
•    violation of laws or regulations
•    misuse of network data
Termination may occur without prior notice.
16. Limitation of Liability
The Service is provided "as is" and "as available".
LLC Mokavshire does not guarantee that:
•    the Service will be uninterrupted
•    the Service will be error-free
•    all information within the Service is accurate
To the maximum extent permitted by law, the Company shall not be liable for:
•    indirect or consequential damages
•    loss of data
•    loss of business opportunities
•    actions of other users
The Company is not responsible for misuse of information by users.
17. Indemnification
You agree to indemnify and hold harmless LLC Mokavshire, its affiliates, and employees from any claims, damages, liabilities, or legal costs arising from:
•    your use of the Service
•    violation of this Agreement
•    misuse of information obtained through the Service
18. External Services
The Service may rely on third-party services including hosting providers, analytics services, and infrastructure providers.
Use of such services may be subject to their own terms and conditions.
19. App Store Disclaimer
This Agreement is between you and LLC Mokavshire only.
Apple Inc., Google LLC, or other platform providers are not responsible for the Service or its content.
20. Force Majeure
The Company shall not be liable for failure to perform obligations due to events beyond its reasonable control, including but not limited to:
•    natural disasters
•    war
•    cyber attacks
•    infrastructure failures
•    government actions
21. Changes to the Agreement
The Company may update this Agreement from time to time.
If significant changes occur, users will be notified through:
•    in-app notifications
•    email
•    other reasonable communication channels
Continued use of the Service after updates constitutes acceptance of the updated Agreement.
22. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of Georgia.
Any disputes arising from this Agreement shall be resolved in the courts of Georgia.
